This Work Sharp Privacy Policy (this “Policy”) describes the types of information Darex, LLC, an Oregon limited liability company (“Company” “we,” “our,” or “us”) may collect from you (“you”), that you may provide to us when  worksharptools.com, any other websites created and maintained by Company, or any services provided via such websites that link to this Policy (txhe “Website”).  This Policy also describes our practices for collecting, using, maintaining, protecting, and disclosing such information.  This Policy does not apply to information collected by us or by any third-party that may be accessible or linked to or from sources other than the Website or via our Services.   

By accessing or using the Website or services we provide (“Services”), you agree to this Policy.  If you do not agree with the terms of this Policy, do not use the Website or provide any information to us.  This Policy may change from time to time and we will post such changes on the Website.  Your continued use of the Website after any revisions we make to this Policy are posted on the Website constitutes your acceptance and agreement to those changes, so please check the Website periodically for updates. 

 

1.     INFORMATION WE COLLECT. 

 We may collect the following types of information when you use the Website:

  •  Personal Information”:  information that identifies you or another person as an individual, such as your or someone else’s name, mailing address, e-mail address, telephone number, IP address, or any other identifier by which you or any other individual may be contacted online or offline.

Information We Collect Automatically.  We do not collect Personal Information automatically, with the exception of IP addresses, a device's unique device identifier, and browser cookies, which may be collected automatically and are only used as described below.  When you access and use the Website, we may use automatic data collection technologies to automatically collect:

  • Usage details (e.g., details regarding your access to and use of the Website); and 
  • Device information (e.g., information about your computer or mobile device and/or internet connection, including the device's unique device identifier, operating system, browser type, and/or mobile network information).

  • Do Not Track.  “Do Not Track” is a privacy preference that you can set in your web browser. When you turn on the Do Not Track signal, your browser sends a message to websites requesting them not to track you. For information about Do Not Track, visit www.allaboutdnt.org. At this time, we do not respond to Do Not Track browser settings or signals.   • To a buyer or successor in the event of a merger, reorganization, dissolution, or other sale or transfer of all or substantially all of Company’s assets or equity interests.
  •  To fulfill the purpose for which you provide it or we receive it with authorization.  For example, if you give us an email address in order for us to provide you more information about the Website or our Services, we will use that email address to provide the requested information to you.
  •   For any other purpose disclosed by us when you provide Personal Information.
  •  With your consent.

  • To comply with any court order, law, or legal process, including to respond to any government or regulatory request.
  •  If we believe disclosure is necessary or appropriate to protect the rights, property, or safety of us or our affiliates, customers, or others.

When you visit or log in to our website, cookies and similar technologies may be used by our online data partners or vendors to associate these activities with other personal information they or others have about you, including by association with your email or home address. 7.     Accessing and Correcting Personal Information

  •          You can review and change your Personal Information by logging into your account with us; or, if such Personal Information is not available by logging into your account with us, please send us an email at info@worksharptools.com to request access to, or to correct or delete any of your Personal Information in our possession.  We may not change or delete information if we believe the change or deletion would violate any law or legal requirement or cause the information to be incorrect.
  • California Civil Code Section § 1798.83 permits California residents who use our Website or Services to request certain information regarding our disclosure of Personal Information to third parties for their direct marketing purposes. The transmission of information via the Internet and the storage of such information is not completely secure.  Although we use commercially reasonable security measures to protect your Personal Information, we cannot guarantee the security of your Personal Information.  You acknowledge and agree that you are providing, or allow us to gather, your Personal Information to us at your own risk.  We are not responsible for failure or circumvention of any privacy settings or security measures we may have in place to protect your Personal Information. 

 

9.     Children Under the Age of 13

 

The Website and Services are not intended for use by children.  We do not knowingly collect information from children under the age of 13.  If you are under 13, do not use the Website, the Services, or provide any information to us through the Website.  If we learn that Personal Information of a child under the age of 13 is collected, we will delete that information from our systems.  If you believe we might have any information from or about a child under 13, please contact us at info@worksharptools.com.

TERMS OF SERVICE

These Terms of Service (“Terms”) are between you and Darex, LLC dba Work Sharp (“Work Sharp”) ("Work Sharp", "we" or "us") and govern orders you place for Work Sharp products (each a “Product”) as well as your use of worksharptools.com (the “Site”).  Please read these Terms carefully before ordering Products (an “order”) or using the Site.  By using the Site or placing an order, you accept and agree to be bound and abide by these Terms.  If you are using the Site on behalf of a company or other legal entity, the term “you” shall refer to such entity in addition to the individual user, and the individual accepting these Terms on behalf of such entity represents that he or she has the authority to bind the entity to these Terms.

 

1.     Eligibility

You must be at least 18 years old to place orders for Products or to use this Site. You represent and warrant that you are at least 18 years old. 

2.     Changes to the Terms

We reserve the right to revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. 

3.     Payment 

Payment must be made at the time your order is placed. 

4.     Changes to Pricing and Products 

4.1.          Pricing and Availability.  Prices for Products, applicable taxes, and shipping costs are posted on the Site or at the point of purchase.  Work Sharp reserves the right to change the prices for Products and shipping on a going forward basis at any time in its sole discretion.  We do our best to ensure that the prices posted for our Products are correct, but errors may occur. If we discover an error in the price of any Product, or the availability of a Product you have ordered, we will inform you of the error as soon as possible and give you the option of reconfirming your order or cancelling it.  If we are unable to reach you regarding the error, we will cancel the order and refund payment to you.

5.     PRODUCTS NOT FOR RESALE

Products are for your own personal use and not for resale.  You are responsible for complying with all applicable laws, regulations and ordinances in connection with your use of any Products. Products may be subject to export control laws and other laws and regulations of the United States and other countries. You are responsible for compliance with all applicable export control laws and regulations, and you represent and warrant that you will not export, re-export, or transfer indirectly or directly any Product in violation of such laws and/or regulations.  You will defend and hold Work Sharp harmless against all claims, damages, or liability resulting you’re your breach of the foregoing.

6.     Third Party Materials

To the extent that any information, material, or functionality on the Site is provided by third-party content providers (“Third Party Materials”), Work Sharp has no responsibility over such Third Party Materials. All statements and/or opinions expressed in Third Party Materials are solely the opinions and the responsibility of the third party providing those materials. Third Party Materials do not necessarily reflect the opinion of Work Sharp, and Work Sharp does not endorse such opinions. We are not responsible, or liable to you or any third party, for the accuracy or reliability of any information provided by any third party, or for your use of any Third Party Materials that may infringe rights of third parties not owned or affiliated with Work Sharp.

 

7.     Accessing the Site and Account Security

We reserve the right to withdraw or modify this Site, and any material we provide on the Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Site, or the entire Site.

All information we collect through or in connection with this Site is subject to our Privacy Notice. By using or providing information to or through the Site, you consent to all actions taken by us with respect to your information in compliance with the Privacy Notice.

Except as expressly provided in Section 8.3 below, you may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, frame in another web page, republish, download, store, transmit or otherwise use any of the materials and content on the Site without our prior written authorization.  No right, title or interest in or to the Site or any content on the Site is transferred to you, and all rights not expressly granted herein are reserved by Work Sharp. Any use of the Site not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark and other laws.

 

8.2.          Trademarks.  WORK SHARP, DRILL DOCTOR and ALL related logos are registered or unregistered trademarks and service marks owned or licensed by Work Sharp. Other product and company names and logos appearing on the Site may be registered or unregistered trademarks, service marks or trade names of their respective owners. Any use of the trademarks, service marks or trade names displayed on the Site is strictly prohibited, and nothing appearing on the Site will be construed as granting, by implication or otherwise, any license or right to use any of those trademarks, service marks or trade names.

 

8.3.      License.  Work Sharp grants you permission to view the Site and its contents and to print individual pages from the Site for your own personal, noncommercial use, provided that you accept and abide by these Terms. 

9.     Prohibited Uses

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:

  • In any way that violates any federal, state, local or international law or regulation.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," or "spam" or any other similar solicitation.
  • To transmit any data or content that is harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or otherwise objectionable, that may invade another’s right of privacy or publicity, infringe upon another’s intellectual property rights, or that you otherwise do not have a right to transmit.
  • To impersonate or attempt to impersonate Work Sharp, a Work Sharp employee, another user or any other person or entity (including, without limitation, by using e-mail addresses or screen names associated with any of the foregoing).
  • To register, subscribe, attempt to register, attempt to subscribe, unsubscribe, or attempt to unsubscribe, any party for products or services if you are not expressly authorized by such party to do so.
  •  To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, may harm Work Sharp or users of the Site or expose them to liability.

Additionally, you agree not to:

  • Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party's use of the Site, including their ability to engage in real time activities through the Site.
  • Use any robot, spider or other automatic device, process or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
  • Introduce any viruses, trojan horses, worms, logic bombs or other material which is malicious or technologically harmful.
  • Probe, scan, test the vulnerability of or breach the authentication measures of, the Site or any related networks or systems.

YOU WAIVE AND HOLD HARMLESS WORK SHARP FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY US AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER WORK SHARP OR LAW ENFORCEMENT AUTHORITIES.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

 

16.  Limitation on Liability

IN NO EVENT WILL WORK SHARP, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR ANY LOSS, COST, OR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY SITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER SITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR SUCH OTHER SITES, OR THE TRANSMISSION OF INFORMATION TO OR FROM THE SITE OVER THE INTERNET, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.  IN NO EVENT SHALL THE AGGREGATE LIABILITY OF WORK SHARP, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY OR OTHER THEORY, ARISING OUT OF OR RELATING TO THE USE OF THE SITE OR THE CONTENT LOCATED THEREON EXCEED ONE HUNDRED DOLLARS ($100.00).

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

 

17.  Indemnification

You agree to defend, indemnify and hold harmless Work Sharp, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to content, data, or information that you submit or transmit through the Site, your violation of these Terms, your violation of any applicable law, regulation or code, your violation of any rights of another, or your use of the Site, including, but not limited to, any use of the Site's content, services and Products other than as expressly authorized in these Terms or your use of any information obtained from the Site.

 

18.  Governing Law and Jurisdiction

All matters relating to the Site and these Terms and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Oregon without giving effect to any choice or conflict of law provision.

Any legal suit, action or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal and state courts located in Jackson County, Oregon.  Work Sharp reserves the right to bring any suit, action or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

 

19.  Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED. 

20.  Injunctive Relief 

You acknowledge and agree that Work Sharp may bring suit exclusively in federal court in Jackson County, Oregon, to enjoin infringement or other misuse of any of our intellectual property rights.

21.  General

These Terms constitute the sole and entire agreement between you and Work Sharp with respect to your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to your use of the Site.  These Terms will survive your receipt of your order.  No waiver of by Work Sharp of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Work Sharp to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Automatic Knife Opening Acknowledgement

In order to comply with appliable law, Darex, LLC dba Work Sharp (“Work Sharp”) requires you read and complete this Automatic Knife Opening Acknowledgement (the “AKOA”) prior to your purchase or receipt of a Work Sharp automatic opening knife.

If you order an automatic opening knife product from Work Sharp, you agree that you meet one or more of the following requirements under United States Federal Law for the sale of an automatic opening knife across state lines. Specifically, you agree that you are a:

  1. Civilian or Armed Forces supply procurement officer or employee of the Federal Government ordering, procuring, or purchasing such knives in connection with the activities of the Federal Government;
  2. Supply or procurement officer of the National Guard, the Air National Guard, or militia of a State, Territory or the District of Columbia ordering, procuring, or purchasing such knives in the connection with the activities of such organization;
  3. Supply or procurement officer or employee of the municipal government of the District of Columbia or the government of a State or Territory, or any county, city or other political subdivision of a State or Territory; or
  4. Manufacturer of automatic opening knives or bona fide dealer of automatic opening knives shipping an automatic opening knife in connection with a shipment made pursuant to an order from any person designated in paragraphs 1, 2 or 3 above.

Work Sharp will not sell automatic opening knives to any customer unless such sale or receipt of the product is made in compliance with one or more of the above conditions. The relevant Federal laws are provided in greater detail below.

AS A WORK SHARP CUSTOMER, YOU RECOGNIZE AND ACKNOWLEDGE THAT IT IS YOUR RESPONSIBILITY AS THE BUYER/OWNER TO ASCERTAIN AND OBEY ALL APPLICABLE LAWS (LOCAL, STATE, FEDERAL AND INTERNATIONAL) IN REGARD TO THE POSSESSION OR PURCHASE OF ANY ITEM FROM WORK SHARP. WORK SHARP DOES NOT PROVIDE A COMPLETE REVIEW OF THE LAWS THAT MAY APPLY IN SPECIFIC STATES, COUNTIES, MUNICIPALITIES, OR OTHER POLITICAL SUBDIVISIONS WITHIN EACH STATE. BY COMPLETING THIS AKOA, YOU WILL BE CERTIFYING THAT IN ADDITION TO COMPLYING WITH FEDERAL LAW, YOU HAVE DETERMINED WHICH, IF ANY, STATE OR LOCAL LAWS APPLY TO YOU, AND THAT YOUR PURCHASE OF AN AUTOMATIC KNIFE FROM WORK SHARP IS IN COMPLIANCE WITH THOSE LAWS.

18 U.S.C. Section 1716(g):

All knives having a blade which opens automatically (1) by hand pressure applied to a button or other device in the handle of the knife, or (2) by operation of inertia, gravity, or both, are nonmailable and shall not be deposited in or carried by the mails or delivered by any officer or employee of the Postal Service. Such knives may be conveyed in the mails, under such regulations as the Postal Service shall prescribe—

(1) to civilian or Armed Forces supply or procurement officers and employees of the Federal Government ordering, procuring, or purchasing such knives in connection with the activities of the Federal Government;

(2) to supply or procurement officers of the National Guard, the Air National Guard, or militia of a State ordering, procuring, or purchasing such knives in connection with the activities of such organizations;

(3) to supply or procurement officers or employees of any State, or any political subdivision of a State or Territory, ordering, procuring, or purchasing such knives in connection with the activities of such government; and

(4) to manufacturers of such knives or bona fide dealers therein in connection with any shipment made pursuant to an order from any person designated in paragraphs (1), (2), and (3).

The Postal Service may require, as a condition of conveying any such knife in the mails, that any person proposing to mail such knife explain in writing to the satisfaction of the Postal Service that the mailing of such knife will not be in violation of this section.

15 U.S.C. Section 1244:

Sections 1242 and 1243 of [the FEDERAL SWITCHBLADE ACT] shall not apply to—

(1) any common carrier or contract carrier, with respect to any switchblade knife shipped, transported, or delivered for shipment in interstate commerce in the ordinary course of business;

(2) the manufacture, sale, transportation, distribution, possession, or introduction into interstate commerce, of switchblade knives pursuant to contract with the Armed Forces;

(3) the Armed Forces or any member or employee thereof acting in the performance of his duty;

(4) the possession, and transportation upon his person, of any switchblade knife with a blade three inches or less in length by any individual who has only one arm; or

(5) a knife that contains a spring, detent, or other mechanism designed to create a bias toward closure of the blade and that requires exertion applied to the blade by hand, wrist, or arm to overcome the bias toward closure to assist in opening the knife.

USE TAX

Sales Tax Disclaimer: Darex is required to collect sales and use tax for purchases made in most states. Orders placed on this website will be accepted with the understanding that such taxes and charges shall be added, as required by law. If your business is exempt from sales tax in the state to which the order will be delivered, please email you purchase order and valid sales tax exemption certificate to orderentry@darex.com. Darex will not refund sales taxes collected on orders placed on this website.

MAPP Policy

The Minimum Advertised Price Policy (MAPP) applies to the marketed price of the product. Darex does not and will not impose or enforce specific pricing with respect to the actual re-sale of products. The customer retains the right to sell products at any price they deem appropriate.

Pricing on an internet site is considered a “marketed price” and must adhere to the MAPP policy. Once the pricing is associated with intent to purchase, the price becomes the selling price and is not bound by this MAPP policy. The MAPP policy does not apply to in-store advertisement or in-store everyday pricing.

Darex may choose to offer special promotions on certain products and adjust the pricing associated with the MAPP policy or suspend the MAPP policy. Customers will receive a minimum 30-day notice for these adjustments.

Intentional or repeated failure to abide by this policy will result in the loss of co-op funds and may result in the loss of authorized customer status with Darex.
